A power bank OEM manufacturing agreement needs to identify the exact product and approved components, then set the rules for samples, production release, engineering changes and quality control. It should also cover compliance documents, price, payment, delivery, tooling, intellectual property, warranty claims and remedies. Put the technical detail in controlled specifications and artwork instead of compressing it into one commercial clause.

The agreement becomes most useful when the order stops going to plan. Can the factory replace a battery cell? Who approves a firmware revision? Who pays for rework after a failed inspection? Which party owns the mould and source files? A quotation rarely answers those questions.

The checklist below is for B2B commercial and quality planning. It is neither a contract template nor legal advice. International sales law, product liability, sanctions, customs rules and enforceability depend on the parties, markets and governing law. Qualified counsel should review the final agreement.

How a manufacturing agreement differs from a quotation

A quotation records price and commercial assumptions. A purchase order requests a defined quantity. A product specification describes the item. The manufacturing agreement sets the rules that apply across development, repeat orders, changes, failures and termination.

Add a document-precedence clause. If the purchase order says 20W, the specification says 22.5W and an old email says 18W, the factory needs a rule for deciding which instruction controls. State the revision and date of every attachment.

1. Identify the parties and the manufacturing scope

Use the registered legal names, addresses and company identifiers of the buyer and supplier. Confirm whether the named supplier operates the production site, uses a related company or subcontracts part of the work. The bank beneficiary and invoice issuer should also be understood before payment.

Describe the project route in plain terms. A logo on an existing model has a different risk profile from a new enclosure, PCBA or firmware programme. List the work that is included and the work that still requires a separate quotation. 2. Attach a controlled product specification

The agreement should define the product through an attached specification, not a catalogue image. Record the model and SKU, nominal capacity and watt-hours, battery configuration, port functions, wired and wireless charging profiles, simultaneous-output behaviour, dimensions, weight, enclosure material, colour, surface finish, accessories and packing method.

Terms such as “high quality cell” or “fast charging” are not acceptance criteria. Use measurable limits and named test conditions. If a feature is model-dependent, identify the exact variant that the supplier is pricing.

3. Control the BOM and approved suppliers

A sample can perform well while later production uses another cell, controller, connector or magnet. The agreement should identify which parts are controlled and how the buyer will be told about a proposed substitution.

For battery cells, record the maker, model, format, rated capacity, minimum capacity if relevant, date-code rule and lot-traceability requirement. The same control may apply to the PCBA, charging IC, wireless module, built-in cable, display, enclosure resin, adhesive and packaging. A full proprietary BOM may be commercially sensitive. If the supplier will not disclose it, agree on a controlled-component list and a method for tracing production lots to the approved configuration.

4. Require written engineering change control

Define a product change broadly enough to cover material, supplier, design, firmware, process, production location, tooling, artwork and packaging changes. The supplier should submit a written change notice before implementing a controlled change.

Silence should not count as approval unless the buyer deliberately accepts that rule. Set a response period and an emergency process for obsolete or unavailable components. If a change affects safety or compliance evidence, require a fresh applicability review before shipment.

5. Define samples and the production-release gate

State which samples are for appearance review, engineering validation and final pre-production approval. Give each approved sample an ID and link it to the specification revision. Approval should be written and limited to the characteristics actually reviewed.

Approval of a logo proof should not authorize mass production of untested electronics. Define a separate production-release gate using the approved golden sample, final artwork, compliance plan, purchase order, deposit and closure of open engineering issues. 6. State MOQ, order process, price and payment terms

Separate estimates from binding commitments. The agreement can describe general MOQ rules, while each purchase order states the actual model, quantity and price. Explain how a purchase order becomes accepted and what happens if the supplier finds a capacity, component or schedule conflict.

Link the final payment milestone to evidence the buyer can review. Depending on the transaction, that may include completed production, a passing inspection report, packing list and required shipping documents. Avoid a milestone described only as “before shipment” when the release conditions are unclear.

7. Write the delivery term correctly

Use the selected Incoterms rule with a named place, port or point and the version, for example “FCA [named place] Incoterms 2020.” The International Chamber of Commerce explains that Incoterms allocate certain delivery obligations, costs and risks between seller and buyer.

Incoterms do not settle every contract issue. They do not replace the product specification, payment terms, title-transfer clause, warranty, intellectual-property provisions or remedies for non-conforming goods. The agreement should also state the requested ship date, delivery window, partial-shipment rule, packing readiness, booking responsibilities and required notices.

Lithium-battery logistics need route-specific planning. Confirm who prepares the packing list, commercial invoice, test summary, dangerous-goods declaration where applicable, marks and carrier information. A promised trade term cannot make an unsuitable battery shipment acceptable to a carrier.

8. Add a model-specific quality agreement

The quality section should state the production controls, inspections, test methods, records and release criteria that apply to the model. Avoid relying on a factory’s generic QC brochure.

  • Aging or burn-in method where specified
  • Performance-test sample size and test conditions
  • Critical, major and minor defect definitions
  • Pre-shipment sampling plan and failed-lot action

ISO 2859-1:2026 provides AQL-indexed sampling schemes for lot-by-lot inspection by attributes. If the parties use it, name the edition, inspection level, inspection state, AQL values and switching rules. AQL is part of a sampling decision. It is not a guarantee of the exact defect rate in the shipment.

The buyer should retain the right to use its own inspector or an agreed third party. State who pays for the initial inspection, reinspection, sorting and travel if the goods are not ready. The power bank quality testing checklist can be converted into model-specific acceptance methods.

9. Define what happens after a failed inspection

A failed inspection should place the affected lot on hold. The agreement should prevent shipment, relabelling or mixing of that lot without the buyer’s written decision. Specify the available actions: full sorting, rework, replacement, price adjustment, cancellation or reinspection.

Require a corrective-action record for recurring or serious defects. It should identify the affected lots, containment, root cause, permanent correction and verification result. Passing a few hand-picked replacements does not show that the original lot was corrected.

10. Allocate compliance and document responsibilities

List the destination markets and the documents required for the exact model. Identify who selects the applicable standards, who commissions testing, who owns the reports and who reviews label or manual requirements. Do not write only “all certificates included.”

11. Freeze packaging, labels and barcodes

Approve retail packaging and shipping packaging as controlled files. Record the artwork revision, language, rating information, barcode data, accessories, unit count, carton specification and packing method. State which party supplies translations and who approves regulatory or importer information.

Custom packaging often creates leftover material. Decide who owns unused boxes, manuals and inserts, how long they will be stored and whether they may be destroyed after termination. Prohibit the use or sale of rejected packaging that carries the buyer’s brand.

12. Separate background IP from project IP

Intellectual property should be divided into what each party owned before the project and what is created during it. A factory may use an existing charging platform, manufacturing method or firmware library. The buyer may bring its trademarks, artwork, industrial design, interface requirements or proprietary code.

For project work, identify ownership or licensing rights for industrial designs, CAD files, circuit drawings, firmware, user-interface assets, test fixtures, packaging files and technical documentation. WIPO notes that there is no single standard agreement for technology transfer; the contract must define the actual ownership, access and permitted use.

  • Whether source files or source code must be delivered
  • Use of third-party IP and responsibility for required licences
  • Restrictions on displaying the product or buyer’s name in marketing
  • Action required when the agreement ends

13. Record tooling ownership and access

Payment for tooling does not always answer who owns it. List each mould, fixture, test jig and programming tool, together with its cost, location, identification, maintenance responsibility and expected life. State whether the buyer may inspect or remove it and whether the supplier may use it for another customer.

Include storage fees, repair approval, replacement after wear and the return or destruction process. If a tool contains the supplier’s background technology, a transfer may require more than moving the physical mould. Legal counsel should align the ownership language with local property and IP law.

14. Control confidentiality and subcontracting

A confidentiality clause should identify protected information, permitted recipients, security measures, exclusions and the duration of the duty. Decide whether the supplier may photograph the product, show it at a trade fair, publish it online or name the buyer as a customer.

Manufacturing often involves outside cell suppliers, mould shops, packaging printers and laboratories. Require disclosure or approval of material subcontracting where it affects quality, confidentiality, compliance or production location. The main supplier should remain responsible for the obligations assigned to it unless the agreement says otherwise.

15. Set traceability, record-retention and audit rules

Define how the finished product links to the battery-cell lot, PCBA revision, firmware, production date, inspection record and packing list. State the record-retention period and the response time when the buyer asks for records during a quality investigation.

An audit clause should describe reasonable notice, scope, confidentiality and access to relevant production areas and records. It is not a substitute for product inspection. 16. Write a usable warranty and field-claim process

A statement such as “12-month warranty” is incomplete. Define when the period starts, which defects are covered, exclusions, claim evidence, response time and remedies. Decide whether the warranty applies to dead-on-arrival units, manufacturing defects, performance below an agreed limit and failures reported by end users.

Lithium batteries can be expensive or impractical to return internationally. The agreement may allow documented local analysis or disposal, but it should preserve enough evidence for root-cause work. Set an escalation route for overheating, swelling, smoke, fire or a pattern of similar complaints.

17. Address recalls, safety events and insurance

Define how the parties share information and cooperate if a safety event, regulator inquiry, marketplace action or recall occurs. Include notice contacts, traceability data, sample preservation, investigation responsibilities and communication approval. Cost allocation and indemnity language need legal review because they depend on fault, law and insurance.

Ask which insurance policies are maintained, their limits, exclusions, territory and evidence of coverage. A certificate of insurance does not prove that every product claim is covered. The policy wording and insured parties matter.

18. Plan for delay, suspension and force majeure

State how the supplier reports a delay, what information the notice must contain and whether the buyer can change shipping method, split the order or cancel affected quantities. A delivery clause should distinguish a factory-caused delay from an event outside reasonable control.

A force-majeure clause needs a defined scope, notice duty, mitigation requirement and end point. Decide how long performance may be suspended before either party can terminate. Do not assume a generic reference to shortages covers every price increase or late component order.

19. Define termination and transition duties

List termination rights for material breach, repeated quality failure, unauthorized changes, insolvency, IP misuse, prolonged delay or failure to meet agreed corrective actions. Include notice and cure periods where appropriate.

Termination does not remove physical stock and project data. Decide what happens to completed goods, work in progress, custom components, branded packaging, deposits, tooling, samples, drawings, firmware files and confidential information. If production may transfer, identify any transition assistance and charges.

20. Choose governing law and dispute terms deliberately

The agreement should address governing law, court jurisdiction or arbitration, language, notices and document priority. The United Nations Convention on Contracts for the International Sale of Goods, known as the CISG, may apply to some international sales. UNCITRAL explains that it covers formation, seller and buyer obligations, conformity, remedies and passing of risk, while some matters remain outside its scope.

The parties should decide with counsel whether the CISG applies, is modified or is excluded. An arbitration clause also needs workable choices for the institution or rules, seat, language, number of arbitrators and interim relief. Copying a clause from an unrelated contract can create an expensive procedural argument before the product dispute is heard.

  • The supplier will confirm components only after receiving the deposit.
  • The quotation allows “equivalent” cells or controllers without an approval process.
  • The approved sample has no ID, configuration record or linked artwork.
  • Quality is described as “industry standard” with no test methods or limits.
  • The factory can ship after its internal inspection even if the buyer’s inspection fails.
  • Tooling is buyer-paid, but ownership, use and removal rights are absent.
  • The warranty gives a duration but no claim method or remedy.
  • The trade term has no named place, port or Incoterms version.
  • Compliance is promised without naming the model, standard or document.
  • The governing-law and dispute clauses are missing or contradict the purchase order.

Questions buyers often ask

Do I need a separate manufacturing agreement for a small OEM order?

The amount of documentation can match the project risk, but a small order still needs a controlled specification, accepted purchase order, change rule, quality criteria, payment terms and warranty process. A short agreement with clear attachments is more useful than a long generic template.

Can the factory substitute an equivalent battery cell?

Only under the agreed change-control rule. The buyer should define whether alternatives are prohibited, pre-approved or subject to written review with samples and supporting evidence. Capacity alone does not establish equivalence.

Should AQL values be written into the agreement?

Record the sampling standard and edition, inspection level, inspection state, AQL values, defect definitions and action after rejection. These details may sit in a referenced quality agreement rather than the main commercial document.

Who owns a mould paid for by the buyer?

Payment alone may not answer ownership, access or transfer rights. The agreement should identify the tool, owner, permitted use, storage location, maintenance, removal process and treatment after termination. Local legal advice is appropriate.

Does an Incoterms rule cover product quality and warranty?

No. Incoterms allocate defined delivery obligations, costs and risks. The manufacturing agreement and its attachments still need to cover product conformity, inspection, payment, title, warranty, IP and remedies.

Can a buyer use a standard online manufacturing contract?

A template can identify topics, but it will not know the product configuration, countries, tooling arrangement, certification route or bargaining position. Use it as an issue list and have counsel adapt the agreement to the transaction.
